Opening

1.     This agreement is made and entered into by and between the         parties concerned on + time in+ place, on basis of equality         and mutual benefit to develop business on terms and                 conditions mutually agreed upon as follows:

Appointment

Payment

1.     Payment shall be made by confirmed, irrevocable L/C opened         by the buyer in favor of Party A, which shall reach Party A         15  days before the date ofshipment.

2.     Terms of payment are proposed by irrevocable Letter of              Credit at sight from Party A. The L/C is to be opened 30            days prior to the shipping date according to the purchase          order committed.

 

Warranty

1.     Party B warrantsthat at the time of delivery each product         will be free from defect in material or workmanship. In the         event the claims occur due to inferior quality/defective           materials, Party B should take the whole responsibility for        100% replacement or return the full amount ofthe defective           products.

2. The Seller warrants that it owns the goods and that it has         the authority to sell the goods to the Buyer. The Seller           further warrants that thegoods are free and clear of all           liens,indebtedness or liabilities. The Seller also                 warrants that all of the goods are in good working condition       as of the date of transfer.

 

Other terms

1.     Party B is restricted/limited to selling or exporting any of      the said products to any party in…without consent of Party A.
